Notice Regarding Execution of Agreement Concerning Change of Parent Company of a Group Subsidiary
("BREXA Next", head office: Chiyoda-ku, Tokyo, President: Kenji Kamiyama), a wholly owned subsidiary of the Company, has entered into a transaction agreement dated February 26, 2026 with Shimizu Corporation ("Shimizu", head office: Chuo-ku, Tokyo, President: Tatsuya Niimura), a wholly owned subsidiary of BREXA Next. ("Shimizu") and American Engineering Corporation (Okinawa) ("AEC"), a wholly owned subsidiary of BREXA Next (Head office: Ginowan City, Okinawa, President: Kenneth Mark Eckerstine), have entered into a transaction agreement. The transaction is expected to be completed in late May 2026 or later, after which AEC will become a wholly owned subsidiary of Shimizu Corporation.
AEC has achieved significant growth as a major subsidiary of the BREXA Group, and is expected to make even greater strides by becoming a part of the Shimizu Corporation, which is in the same business. We would like to ask for your understanding of this transaction and your continued support and patronage of AEC after the change of parent company.
