Notice of Acquisition of Shares of LUX Partners, Inc.

(Head office: Chiyoda-ku, Tokyo; Representative Director: Takayuki Yamazaki; hereinafter "BREXA Tech"), a group company of BREXA Holdings Corporation, has concluded a share transfer agreement with LUX Corporation (Head office: Shibuya-ku, Tokyo; Representative Director: Takanori Nakamura), under which LUX Partners Co. (Head Office: Shinjuku-ku, Tokyo; Representative Director: Masayuki Yoshida; hereinafter "LUX Partners"). LUX Partners will become a wholly owned subsidiary of BREXA Tech upon the share acquisition on April 1, 2026 (scheduled).

Background of Share Acquisition

The BREXA Group is developing human resource services for various fields as a "growth realization platform" that develops people from no experience into "professional human resources" under the purport of "eliminating the boundaries of all 'work' and creating more possibilities for more people".

BREXA Tech began as an engineer staffing service for the domestic market within the group, and over the past 20 years has built on its experience and know-how to address a wide variety of technical issues. In the IT engineering field in particular, BREXA Tech boasts one of Japan's top-class staffing numbers of 10,000 employees and a wealth of experience in the field of IT engineering.

 

BREXA Tech has decided to acquire these shares in order to further expand its business in the IT engineering field, where demand has been strong in recent years. Through this acquisition, BREXA Tech will provide more inexperienced IT professionals with opportunities to grow into IT professionals by combining the training know-how of LUX Partners, which trains inexperienced people to become excellent IT engineers, with the sales network and recruiting capabilities of BREXA Tech. We also provide quality IT engineers to more clients.

With the rapid progress of digitization, there will be a shortage of 450,000 IT personnel in Japan by 2030, which is becoming a social issue.BREXA Tech has trained many inexperienced workers to become IT professionals and provided them with many job opportunities.

Through this acquisition of shares, LUX Partners will further strengthen the fields of AI and machine learning, in which it excels, to provide inexperienced professionals with more opportunities to take on new challenges, and at the same time, to offer its clients more diverse human resource services in the IT field.
